Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VSL Stats websites, applications, video players, analytics, and related services provided by VSL Stats (“VSL Stats”, “we”, “our”, or “us”). By creating an account, activating a subscription, embedding a VSL Stats player, or otherwise using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not use the Services.

1. Eligibility & Account Security

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining accurate account information, safeguarding your login credentials, and informing us immediately of any unauthorized use. You are liable for all activity conducted through your account, whether authorized or not.

2. Subscriptions, Fees & Renewal

Access to the Services is provided on a subscription basis. Subscription fees, billing cycles, and available plans are described at the time of purchase. Unless otherwise stated, subscriptions renew automatically at the end of each billing period using the payment method on file. You may cancel renewal at any time from within the dashboard; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law or expressly stated otherwise in writing.

3. Trials, Promotions & Beta Features

We may offer free trials, promotional pricing, or beta access to experimental functionality such as new analytics, automated follow-ups, or funnel diagnostics. We reserve the right to modify or discontinue trials or promotional terms at any time without notice. Beta features are provided “as is,” may contain bugs, and are excluded from any uptime commitments or support obligations.

4. Customer Content & Video Delivery

You retain all rights to the videos, creative assets, copy, opt-in forms, and other content you upload (“Customer Content”). You grant VSL Stats a worldwide, royalty-free, non-exclusive license to host, transcode, cache, distribute, and display Customer Content as necessary to provide the Services, including CDN delivery, player rendering, heatmap generation, and analytics processing. You represent that you have obtained all required rights and consents to host and distribute Customer Content through the Services.

5. Viewer Data & Privacy

Viewer interaction data (including plays, drop-off points, conversions, opt-ins, timelines, and device information) collected through the Services is made available to you via dashboards, exports, and APIs. You are the controller of viewer personal information captured on your behalf. You must provide any required notices and obtain all necessary consents from viewers before collecting their data. Our use of personal information is described in the Privacy Policy. A data processing addendum is available upon request to customers that require one.

6. Acceptable Use

You may not (and may not permit others to):

• Use the Services for unlawful, defamatory, deceptive, or abusive purposes;
• Upload content that infringes third-party intellectual property or publicity rights;
• Interfere with or disrupt the integrity or performance of the Services;
• Attempt to access VSL Stats systems without authorization or circumvent security controls;
• Reverse engineer, decompile, or copy the Services except as permitted by law;
• Resell, sublicense, lease, or provide the Services to third parties without written approval;
• Send spam, chain letters, or unsolicited commercial messages using any VSL Stats features;
• Collect viewer data for purposes unrelated to your legitimate business relationship with the viewer.

We may suspend or terminate access if you violate the Acceptable Use requirements.

7. Integrations & Third-Party Services

The Services may interoperate with third-party platforms, such as CRMs, email service providers, and advertising networks. Use of any third-party service is governed solely by the applicable terms of that provider. VSL Stats is not responsible for third-party services, and we do not guarantee that integrations will continue to be available. We may add, remove, or modify integrations from time to time.

8. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable measures and to use such information only as necessary to perform under these Terms. This obligation does not apply to information that becomes public through no fault of the receiving party, was already known, is independently developed, or is required to be disclosed by law.

9. Service Availability & Support

We strive to keep the Services available and performant, including CDN delivery, dynamic timelines, and analytics dashboards. From time to time we may perform planned maintenance or implement updates that could temporarily affect availability. If you require specific uptime or support commitments, please contact us to review our service-level offerings.

10. Intellectual Property

Except for Customer Content, VSL Stats retains all right, title, and interest in the Services, including software, analytics models, documentation, design assets, and any improvements or derivative works. No rights are granted except as expressly stated in these Terms.

11. Feedback

If you provide product ideas, feature requests, or other feedback, you grant VSL Stats a perpetual, irrevocable, transferable, sublicensable, royalty-free license to use the feedback without restriction. Feedback is provided voluntarily and without obligation of confidentiality.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VSL STATS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT THEY WILL INCREASE YOUR CONVERSIONS OR REVENUE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VSL STATS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO VSL STATS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless VSL Stats and its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) your Customer Content; (b) your breach of these Terms or applicable law; or (c) your use of the Services in violation of third-party rights.

15. Termination

We may suspend or terminate access to the Services immediately upon notice if you violate these Terms, fail to pay fees when due, or if continued access poses a security risk. You may terminate your subscription at any time via the dashboard or by contacting support. Upon termination, you must stop using the Services and remove all VSL Stats embeds from your sites. Certain provisions that by their nature should survive (including Sections 4–15) will survive termination.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be submitted to binding arbitration in Nashville, Tennessee, administered by the American Arbitration Association under its Commercial Arbitration Rules. Either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property or unauthorized access.

17. Changes to the Services or Terms

We may update the Services, adjust pricing, or modify these Terms from time to time. If we make material changes, we will provide notice through the Services or via email. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

18. Miscellaneous

These Terms, together with any invoices, order forms, or addenda (including any data processing agreement), form the entire agreement between you and VSL Stats regarding the Services and supersede prior agreements. Neither party may assign these Terms without the other’s prior written consent, except that VSL Stats may assign them in connection with a merger, acquisition, or sale of substantially all assets. If any provision is found unenforceable, the remaining provisions will remain in full effect. Failure to enforce any provision will not constitute a waiver.
